Terms of Service
These Terms govern your use of ZeroSuite (School ERP, Coaching ERP, HRMS & Payroll, ZeroClash Timetable and web-development services). They are an electronic record under the Information Technology Act, 2000 and form a binding agreement between you / your institution and ZeroSuite. Where an institution signs a separate order form, subscription agreement or Data Processing Agreement with us, that signed document sets the specific commercial and data terms for that institution and prevails over these website Terms to the extent of any conflict.

1.Acceptance & eligibility
By accessing or using ZeroSuite you agree to these Terms and our Privacy Policy. You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. If you use the service on behalf of an institution, you confirm you are authorised to bind that institution to these Terms.
2.The service
ZeroSuite is a software platform that helps educational institutions and enterprises manage admissions, attendance, grades, fees, scheduling, HR and payroll. Features available to you depend on your plan. We may add, change or discontinue features with reasonable notice.
3.Account & security
You must provide accurate registration details and keep them updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorised use.
4.Acceptable use
In line with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you agree not to use the service to:
- Violate any applicable Indian or international law, or any third-party right.
- Upload unlawful, defamatory, obscene, or content harmful to children.
- Infringe intellectual-property or privacy rights of others.
- Attempt unauthorised access, hacking, scraping, or disruption of the service.
- Introduce malware, or interfere with another user’s use of the platform.
- Impersonate any person or misrepresent your affiliation with an institution.
We may remove content or suspend access that we reasonably believe violates these rules or the law.
5.Institution responsibilities
Where you upload data about students, guardians or staff, your institution is the Data Fiduciary and is responsible for the accuracy of that data and for obtaining any consent required by law (including verifiable parental/guardian consent for children). ZeroSuite processes such data only to provide the service. See the Privacy Policy.
6.Subscriptions, billing & taxes
Paid plans are prepaid for the chosen term, which is typically an annual subscription period unless your order form says otherwise. Subscriptions do not auto-renew by default. You choose to renew before expiry, and access continues only for the term you have paid for. Where an order form states that a plan renews automatically, that will be set out clearly and agreed in writing before it applies.
Currency and payment methods. Fees may be quoted in INR, USD or another currency specified in the applicable order form or invoice. Payment methods may include Razorpay, international bank transfer, card payment or another approved method. For Indian customers, fees are exclusive of applicable taxes and GST is charged where applicable and shown on your invoice. For international customers, fees are exclusive of any local taxes, withholding or bank transfer charges, which are your responsibility unless the order form states otherwise.
Pilots and start date. Where we agree a paid pilot or a complimentary trial, its length and terms are set out in the order form. Unless stated otherwise, the service commences on the date we activate your account or the start date named in the order form, and the subscription term runs from that date.
Support. Standard support is provided by email during business hours, Monday to Friday, India Standard Time (IST), with reasonable-effort response times. Any different support hours, response targets or timezone coverage will be set out in the order form.
Data export at the end of the term. Before or shortly after termination, you may request an export of your institution’s data in a common format. After the export window, data is deleted or returned as described in the Privacy Policy and your Data Processing Agreement, and we provide written confirmation of deletion on request.
7.Refunds & cancellation
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms and is consistent with the Consumer Protection (E-Commerce) Rules, 2020.
8.Intellectual property
The platform, its software, design and the scheduling engine are the exclusive property of ZeroSuite and its licensors. You retain ownership of the data you upload; you grant us a limited licence to host and process it solely to provide the service. Our marks may not be used without written consent.
9.Third-party services
The service integrates third-party providers (e.g. Razorpay, Google, cloud hosting). Your use of those services is subject to their terms. We are not responsible for third-party services we do not control.
10.Disclaimers
The service is provided on an “as is” and “as available” basis without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted or error-free. Nothing here limits rights you have as a consumer under the Consumer Protection Act, 2019 that cannot be excluded by law.
11.Limitation of liability
To the maximum extent permitted by law, ZeroSuite and its team shall not be liable for any indirect, incidental, special or consequential damages, or loss of profits, data or goodwill. Our total aggregate liability for any claim shall not exceed the fees you paid for the service in the three (3) months preceding the event giving rise to the claim.
12.Indemnity
You agree to indemnify ZeroSuite against claims, losses and expenses arising from your misuse of the service, your breach of these Terms, or your violation of any law or third-party right, including in respect of data you upload.
13.Suspension & termination
We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law, with notice where practicable. You may stop using the service at any time. On termination, data is handled per our retention terms in the Privacy Policy.
14.Data protection
We handle personal data in accordance with the Digital Personal Data Protection Act, 2023 and our Privacy Policy, which is incorporated into these Terms by reference.
15.Governing law & dispute resolution
These Terms are governed by the laws of India. Subject to the arbitration below, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction. The parties will first attempt to resolve disputes amicably; if unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat at Mumbai and proceedings in English.
For an institution outside India, the governing law, jurisdiction and dispute-resolution terms may instead be set out in a signed order form or subscription agreement, and those signed terms prevail over this section for that institution.
Grievance officer
In accordance with the Information Technology Act, 2000, the Intermediary Guidelines Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, you may raise any grievance with our Grievance Officer. We acknowledge complaints within 48 hours and aim to resolve them within 15 days.
17.Changes & contact
We may update these Terms; material changes will be posted here with a new “Last updated” date and, where appropriate, notified in-app. Continued use after changes constitutes acceptance. Questions? Email support@zerosuite.in.
